THREADS PM Beta Terms and Conditions

These Beta Terms and Conditions (the “Beta Terms”) form a binding agreement between you (“You” or “Beta User”) and SimplAI Product LLC, a Virginia limited liability company (“SimplAI Product”, “we”, “us”, or “our”). They govern Your access to and use of the THREADS PM product, including any associated websites, applications, APIs, documentation, and support provided during the beta period (collectively, the “Beta Service”).

These Beta Terms are posted at https://simplaiproduct.com/beta-terms and are linked from our website and within the Beta Service at all times. When You register for an account, You will be asked to check a box confirming that You have read, understood, and agreed to be bound by these Beta Terms. Thereafter, each time You sign in to the Beta Service, You acknowledge and agree that You continue to be bound by the version of these Beta Terms then in effect, and Your continued access to or use of the Beta Service constitutes Your ongoing acceptance of these Beta Terms as they may be updated from time to time. If You are accepting on behalf of an organization, You represent that You have authority to bind that organization. If You do not agree, do not register for, access, or use the Beta Service.

Relationship to Master Subscription Agreement. If You and SimplAI Product execute a Master Subscription Agreement (“MSA”) and one or more Order Forms in connection with a paid subscription to the Services, that MSA and the applicable Order Form(s) will govern Your access to and use of the Services and will supersede these Beta Terms with respect to Your use of the Services under that MSA.

1. Beta Nature of the Service

The Beta Service is a pre-release, evaluation version. It is provided for testing, feedback, and evaluation purposes only. You acknowledge and agree that:

  • The Beta Service is under active development and may contain bugs, errors, and incomplete features.
  • Features, plans, pricing, and supported AI Providers (as defined below) may be added, changed, or removed at any time without notice.
  • We make no commitment that the Beta Service will become generally available, or that any version released commercially will be compatible with the Beta Service.
  • We may suspend, limit, or discontinue Your access to the Beta Service at any time, with or without notice, and without liability.
  • There is no service level agreement, uptime guarantee, or support commitment associated with the Beta Service.

2. Eligibility and Geographic Scope

You must be at least 18 years old and able to form a binding contract.

During the beta period, the Beta Service is offered only to users located in the United States. You represent that You are located in the United States and will use the Beta Service from the United States. We do not offer the Beta Service to users located in the European Economic Area, the United Kingdom, or Switzerland, and We have not undertaken the compliance steps that would be required to do so (including, without limitation, GDPR data protection arrangements). If You are located outside the United States, You must not access or use the Beta Service.

You are responsible for maintaining the confidentiality of Your account credentials and for all activity that occurs under Your account. You agree to notify us promptly of any unauthorized access or use. 

3. Your Content

“Your Content” means any data, text, files, documents, prompts, and other materials You submit to, upload to, or generate through the Beta Service, including outputs generated by AI models in response to Your inputs.

You retain all ownership rights in Your Content. You grant SimplAI Product a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and use Your Content solely to (a) provide, maintain, and improve the Beta Service for You, (b) route Your inputs to the AI Provider selected (by Us during the current beta period, and by You once provider selection becomes available), and (c) comply with applicable law.

You represent and warrant that You have all rights necessary to submit Your Content and that Your Content does not violate any law or third-party right.

4. Third-Party AI Providers

The Beta Service operates as an interface to one or more third-party large language model providers (each, an “AI Provider”).

4.1 Current Provider (Beta)

At the time these Beta Terms are last updated, the Beta Service routes all AI requests to OpenAI GPT models accessed through the Microsoft Azure OpenAI Service. Microsoft hosts these models in Microsoft’s Azure environment, and Your inputs are processed by Microsoft under the Microsoft Product Terms and the Azure OpenAI data privacy commitments (linked below). Microsoft states that prompts and outputs submitted to the Azure OpenAI Service are not available to OpenAI, are not available to other customers, and are not used to train foundation models without the customer’s permission.

4.2 Provider Selection (Forthcoming)

We intend to add, in the near term, the ability for You to select among multiple AI Providers for each task. Once that feature becomes available, You will choose the AI Provider and model for each task, and We will transmit only the information reasonably required to fulfill Your request to the AI Provider You select. Supported AI Providers may include:

  • OpenAI, L.L.C. (GPT models)
  • Anthropic, PBC (Claude models)
  • Google LLC (Gemini models)
  • Meta Platforms, Inc. (Llama models, typically accessed through a hosting partner)
  • X.AI LLC (Grok models)

We may add, remove, or change supported AI Providers at any time.

4.3 Minimum Necessary Transmission

Whether the AI Provider is selected by Us (during the current beta period) or by You (once provider selection is available), We transmit only the information reasonably required to fulfill Your request. This typically includes the prompt or instruction You provide, any context You attach, and the model parameters You or We set. We do not intentionally transmit information beyond what is necessary to provide the Beta Service.

4.4 Provider Terms Apply

When Your inputs are routed to an AI Provider, that provider processes Your data under its own terms and data handling commitments. Those commitments govern that processing and are not controlled by SimplAI Product. We link the relevant policies below so You can review how each provider commits to handle data submitted through its API. You are responsible for reviewing and complying with the terms that apply to the AI Provider used to process Your requests. By using the Beta Service, You agree to comply with the applicable AI Provider’s terms and acceptable use policies, and You acknowledge that each AI Provider is an intended third-party beneficiary of these Beta Terms with respect to Your obligations under that AI Provider’s terms and policies, and may enforce those obligations directly against You. Where a model is accessed through a cloud hosting platform (such as Microsoft Azure) rather than through the model provider’s own API, the hosting platform’s terms and data handling commitments govern how Your inputs are processed, and references in these Beta Terms to an AI Provider include that hosting platform.

4.5 No Endorsement, No Substitution

Linking to provider terms is for Your information. It does not substitute for, or limit, SimplAI Product’s own commitments under these Beta Terms. Provider terms may change at any time, and the links below are provided for convenience.

Note on hosted model access: Some models are accessed through a hosting platform rather than the model provider’s own API. The Beta Service currently accesses OpenAI GPT models through the Microsoft Azure OpenAI Service. Llama models, when supported, are typically accessed through a hosting partner (such as Amazon Bedrock, Groq, Together AI, or similar). In each case, the hosting platform’s terms and data handling commitments govern how Your inputs are processed, in addition to the model provider’s license and acceptable use policy where applicable.

4.7 General Data Commitments We Rely On

The AI Providers we integrate with have published the following general commitments for their API / commercial offerings. These are described in their own words in the linked documents and are subject to change:

  • Microsoft states that prompts and outputs submitted to the Azure OpenAI Service are not available to OpenAI, are not available to other customers, and are not used to train foundation models without the customer’s permission. The Azure OpenAI Service does not interact with services operated by OpenAI.
  • OpenAI states that it does not use Customer Content submitted through its API or business offerings to train or improve its models.
  • Anthropic states that it does not train its models on Customer Content submitted through its API or commercial offerings.
  • Google states that it does not use prompts or responses from the Paid Services of the Gemini API to improve its products, but does use content submitted through Unpaid / free services to improve its products.
  • xAI’s Enterprise Terms govern developer and business use of xAI APIs; its consumer Service grants xAI broader rights over user content.
  • Meta’s Llama license permits use of Llama models subject to the Llama Acceptable Use Policy; data handling depends on the hosting partner You use to access the model.

We configure our integrations to use the commercial / API tiers of these providers where available. Once provider selection becomes available to You, You will be responsible for understanding the data handling implications of any free-tier provider You select.

5. Sensitive and Regulated Data

The Beta Service is not designed for, and You must not submit through it:

  • Protected health information governed by HIPAA or similar laws
  • Payment card data governed by PCI DSS
  • Government-issued identifiers (Social Security numbers, passport numbers, etc.) except where strictly necessary
  • Classified, export-controlled, or other information that You are not legally permitted to disclose
  • Confidential information of third parties that You are not authorized to share

You are solely responsible for determining whether Your intended use of the Beta Service complies with laws, contracts, and policies that apply to Your data.

6. Acceptable Use

You agree not to use the Beta Service to:

  • Violate any law, regulation, or third-party right.
  • Generate, distribute, or facilitate content that is unlawful, defamatory, harassing, or that infringes intellectual property or privacy rights.
  • Reverse engineer, decompile, or attempt to extract the source code, models, or underlying components of the Beta Service, except as expressly permitted by law.
  • Build or train a competing product or service.
  • Circumvent rate limits, access controls, or security mechanisms.
  • Use the Beta Service in a manner that violates the Acceptable Use Policy of any AI Provider whose model is used to process Your requests.

We may suspend or terminate Your access for any violation of this section.

7. Feedback

We welcome Your feedback, suggestions, bug reports, and ideas (“Feedback”). You grant SimplAI Product a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and commercially exploit any Feedback for any purpose, without attribution or compensation to You. You are not required to provide Feedback, and You should not submit anything You consider confidential as Feedback.

8. Confidentiality of the Beta Service

The Beta Service, and non-public information about it (including unreleased features, performance characteristics, and roadmap), are SimplAI Product’s confidential information. You agree not to disclose this information to third parties, and not to publish benchmarks, screenshots of unreleased features, or performance comparisons, without our prior written consent. This section survives termination.

9. Intellectual Property

Except for the limited license granted to You under these Beta Terms, SimplAI Product and its licensors retain all rights, title, and interest in and to the Beta Service, including all software, models, workflows, trademarks, and documentation. No rights are granted by implication.

10. Fees and Plans

The Beta Service is currently provided free of charge unless We agree otherwise in writing. We may, at any time and in our discretion, introduce or modify plans, tiers, pricing, usage limits, and fees applicable to the Beta Service, including during the beta period. We will make any new or changed plan terms available to You through the Beta Service or at the URL where these Beta Terms are posted. Your continued use of the Beta Service after a change to plans or fees takes effect constitutes Your acceptance of that change. If You do not agree to a change, Your sole remedy is to stop using the Beta Service.

11. Changes to These Beta Terms

We may update these Beta Terms at any time. When we do, we will revise the “Last Updated” date at the top of this page and post the updated version at https://simplaiproduct.com/beta-terms. For material changes, we will also use reasonable efforts to provide additional notice (for example, by email or in-product notice).

Your continued access to or use of the Beta Service after the updated Beta Terms are posted constitutes Your acceptance of the updated Beta Terms. If You do not agree to the updated Beta Terms, Your sole remedy is to stop accessing and using the Beta Service.

You are responsible for reviewing these Beta Terms periodically to stay informed of any updates.

12. Disclaimers

THE BETA SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLAI PRODUCT DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

AI-generated outputs may be inaccurate, incomplete, biased, or offensive. You should not rely on outputs as a substitute for professional advice (legal, medical, financial, or otherwise) or for any decision with material consequences without independent human review. SimplAI Product is not responsible for decisions You make based on outputs of the Beta Service.

SimplAI Product is not responsible for the acts, omissions, outages, errors, or changes to terms of any AI Provider or other third-party service used to process requests through the Beta Service.

No High-Risk Use. The Beta Service is not designed, developed, or intended for use in any environment in which the failure of the Beta Service could lead to death, personal injury, or physical or environmental damage. Such environments include, without limitation, the design or operation of nuclear facilities, navigation or communication systems, air traffic control, direct life support systems, weapons systems, or the on-line control of equipment in any hazardous environment requiring fail-safe performance. You represent and warrant that You will not use the Beta Service for any such purpose.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SIMPLAI PRODUCT OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE BETA TERMS OR THE BETA SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SIMPLAI PRODUCT’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE BETA TERMS OR THE BETA SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

THE LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND SIMPLAI PRODUCT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You will defend, indemnify, and hold harmless SimplAI Product and its affiliates from and against any third-party claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) Your Content, (b) Your use of the Beta Service, or (c) Your breach of these Beta Terms or of any AI Provider’s terms or acceptable use policy.

15. Term and Termination

These Beta Terms start when You first accept them and continue until the beta period ends or either party terminates, whichever is earlier. You may stop using the Beta Service at any time. We may suspend or terminate Your access at any time, for any reason or no reason, with or without notice. Upon termination, Your license to use the Beta Service ends immediately, and We may delete Your Content from our systems.

Sections 3, 7, 8, 9, 12, 13, 14, 15, 17, 18, 19, and 20 survive termination.

16. Privacy

Our Privacy Policy, posted at https://simplaiproduct.com/privacy, describes how we collect, use, and share information in connection with the Beta Service. By using the Beta Service, You acknowledge that Your information will be handled in accordance with that Privacy Policy.

17. Governing Law and Miscellaneous

These Beta Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Virginia for any dispute not subject to arbitration. If any provision is held unenforceable, the remainder will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Beta Terms without our prior written consent. These Beta Terms constitute the entire agreement between the parties regarding the Beta Service and supersede any prior agreements on that subject.

JURY TRIAL WAIVER. THE PARTIES HEREBY WAIVE ANY RIGHT TO TRIAL BY JURY IN CONNECTION WITH ANY ACTION, PROCEEDING, OR COUNTERCLAIM BROUGHT BY EITHER PARTY AGAINST THE OTHER ON ANY MATTER ARISING OUT OF OR IN ANY WAY RELATED TO THESE BETA TERMS OR THE BETA SERVICE.

18. Force Majeure

SimplAI Product will not be responsible for any delay or failure to perform under these Beta Terms when its delay or failure results from circumstances beyond its reasonable control, including, without limitation, acts of God, government acts or directives, epidemic or pandemic, flood, fire, earthquake, civil unrest, acts of terror, strikes or other labor problems, service disruptions involving hardware, software, or power systems not within SimplAI Product’s possession or reasonable control, denial of service attacks, and outages or changes affecting any AI Provider. A force majeure event does not include economic hardship.

19. Export and Sanctions Compliance

The Beta Service and any technology made available through it may be subject to export laws and regulations of the United States and other jurisdictions. You represent that You are not (a) located in, or a national or resident of, any country subject to a comprehensive U.S. embargo; (b) a person or entity with whom U.S. entities are restricted from doing business under regulations of the Office of Foreign Assets Control (“OFAC”) of the U.S. Department of the Treasury, including those named on OFAC’s Specially Designated Nationals and Blocked Persons List; or (c) named on any U.S. government denied-party list. You will not access or use the Beta Service in a U.S. embargoed country or in violation of any U.S. export law or regulation.

20. Independent Contractor

SimplAI Product, in providing the Beta Service, is acting solely as an independent contractor. Nothing in these Beta Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between You and SimplAI Product, and neither party has authority to bind the other to any contractual obligation or commitment.
